1. Agreement to Terms

By accessing or using ClearICP ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, customers, merchants, and contributors of content.

2. Description of Service

ClearICP is a software-as-a-service platform that uses artificial intelligence to analyze customer datasets and generate Ideal Customer Profile (ICP) insights, segmentation analysis, and related reports. The Service:

Processes customer data you upload to generate ICP analysis
Provides segmentation and scoring insights based on your data
Allows you to export analysis results in various formats
Offers both free preview and paid analysis options

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice, for any reason.

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information
Maintain and update your information to keep it accurate, current, and complete
Maintain the security of your account credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. User Data and Responsibilities

4.1 Data You Provide

You retain all rights to any data you upload to the Service ("User Data"). By uploading User Data, you represent and warrant that:

You have the legal right to upload and process the data
You have obtained all necessary consents and authorizations
The data does not violate any applicable laws or regulations
The data does not infringe on any third-party rights
The data does not contain malicious code, viruses, or harmful content

4.2 Data Processing License

By uploading User Data, you grant us a limited, non-exclusive license to:

Process your data solely to provide the Service
Store your data securely in accordance with our Privacy Policy
Generate analysis results based on your data

This license does NOT include:

Using your data to train AI models
Sharing your data with third parties (except as necessary to provide the Service)
Using your data for any purpose other than delivering your analysis

4.3 Your Responsibilities

You are solely responsible for:

Ensuring you have the right to upload and process User Data
Complying with all applicable data protection laws (e.g., GDPR, CCPA)
Obtaining necessary consents from data subjects
Backing up your data outside of the Service
Ensuring User Data is accurate and up-to-date

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe on any intellectual property rights
Upload malicious code, viruses, or harmful content
Interfere with or disrupt the Service or servers
Attempt to gain unauthorized access to the Service or other accounts
Use the Service for any illegal or unauthorized purpose
Reverse engineer, decompile, or disassemble the Service
Use automated systems to access the Service without permission

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any prohibited activities.

6. Pricing and Payment

6.1 Pricing

The Service offers:

Free Preview: Limited analysis of 10-15 customer records, no exports
Paid Analysis: Full analysis with tiered pricing based on the number of customer records processed

Pricing is subject to change. We will notify you of any material pricing changes before they take effect.

6.2 Payment

Payment is processed through Stripe. By making a payment, you agree to:

Provide accurate payment information
Authorize us to charge your payment method for the amount specified
Pay all applicable taxes

6.3 Refunds

Refund requests must be submitted within 7 days of analysis completion. We will review refund requests on a case-by-case basis and may provide refunds if:

The analysis failed due to a technical error on our part
You are not satisfied with the analysis results and can demonstrate a material issue

Refunds are not available for completed analyses that were successfully delivered, even if the results do not meet your expectations.

7. Intellectual Property

7.1 Service Ownership

The Service, including all content, features, functionality, and technology, is owned by ClearICP and is protected by copyright, trademark, and other intellectual property laws.

7.2 Analysis Results

You own the analysis results generated from your User Data. You may use, modify, and distribute these results as you see fit, subject to these Terms.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide license to use, modify, and incorporate such feedback into the Service without compensation or attribution.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be:

Uninterrupted, secure, or error-free
Free from defects or viruses
Available at all times

8.2 Analysis Accuracy

While we use advanced AI technology to generate ICP analysis, we do not guarantee:

The accuracy, completeness, or reliability of analysis results
That analysis results will meet your specific needs or expectations
That analysis results will lead to improved business outcomes

Analysis results are provided for informational purposes only and should not be the sole basis for business decisions.

8.3 Limitation of Liability

To the maximum extent permitted by law, ClearICP shall not be liable for:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages resulting from your use or inability to use the Service
Damages resulting from errors, omissions, or inaccuracies in analysis results

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless ClearICP and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any applicable laws or regulations
Your User Data or any content you upload
Any infringement of third-party rights by your User Data

10. Data Retention and Deletion

We retain your data according to our Privacy Policy. You may delete your account and data at any time through the Service interface or by contacting us.

Upon account deletion, we will delete your User Data and analysis results within a reasonable time frame, subject to our legal obligations to retain certain information.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you:

Violate these Terms
Engage in fraudulent or illegal activities
Fail to pay fees when due
Use the Service in a manner that harms us or other users

You may terminate your account at any time by deleting it through the Service interface or by contacting us. Upon termination, your right to use the Service will immediately cease.

12. Governing Law and Dispute Resolution
